内容提要

当前，我国闪有企业改革己到了攻坚阶段。国有企业改革的方向是建

立起产权清晰、权责分明、政企分开、管理科学的现代企业制度。1-4有企

业改革的重要手段之一就是兼并收购重组。通过并购重组，能优化配置国

家经济资源，提升国有企业的产业结构层次，达到国有企业的经济规模，

提高国有企业的竞争实力，实现国有企业的改革目标。为研究国有企业的

并购重组问题，本文采用了对比分析方法、历史分析方字翻 规范分析方法

和实证分析方法等。)本文首先从我国国有企业为什么需要并购重组进行分

析，渐次探讨了国有企业并购重组的概念、历史、动因、原则、程序及具

体方式，并着重探讨了我国国有企业并购重组中应注意的相关问题，最后，

剖析了一个成功的国有企业并购案例。通过研究，笔者对国有企业并购重

组中所应注意的每个问题都提出了相应的解决思路和方法，希望能更好地

发挥并购重组在我国国有企业改革中的作用。

Abstract

Presently,ourstate-ownedenterprise'sreformhascometocriticalphase.

Thereform ofstate-ownedenterpriseaimsattheestablishmentofmodern

enterprisesystemincludingclearlyestablishedowner-ship,well-defniedpowers

andresponsibilities,independentandscientificmanagement.Oneofthe

importantmethodsofstate-ownedenterprise'sreformismerger&acquisition&

restructuring.M&Acanleadtooptimumallocationofstate-ownedresources,

properindustrialstructure,rationaleconomyscale,andstrongercompetence,

whicheventuallycontributetothesuccessofstate-ownedenterprise'sreform.In

ordertodiscussM&Aofourstate-ownedenterprises,articlepresentsadetailed

discussionontheconcept,motivation,history,princ币les,procedures,and

methodsofM&A.Otherrelativeproblemsarealsoemphasizedandasuccessful

M&A caseofstate-ownedenterpriseissupplied.Methodsusedinclude

comparativeanalysis,historicalanalysis,normativeanalysisandpositiveanalysis,

etc.Basedontheresearch,theauthorputforwardcorrespondingsolutionstoall

theproblems即onwhichmoreattentionmustbepaid.Inoneword,theauthor

hopethefunctionofM&Acanbeusedefficientlyforthereformofourstate-

ownedente印rise.
